Contract Law: Waiver to Remove Express or Implied Agency

mardi 7 octobre 2014

My question involves business law in the state of: California

I am trying to understand the reason for including this statement - "I agree that I am not acting as an express or implied agent on behalf of the company, its Board, administrators, or other agents and expressly warrant that I will make no representations to the contrary to any third party" as part of a indemnity waiver to drive a personal car for business purposes.

I have to put together a new draft of a waiver and I am going off on language previously included there. The provisions to hold harmless and indemnity in case of an accident make perfect sense to me, but an agreement to relinquish business authority while driving is very confusing.

Please help and thank you in advance!
