Starting a Business: Incorporating a LLC and Creating a IPO

My question involves business law in the state of: Winsconsin or Florida.



Hello Im looking for some advice, Im working on a project that would take me to setup a company, prefer a LLC given the simplicity but still not sure on what type, but the main point is that i want to open an IPO, or a security listing to some people on the web, that would help me create the funds that i need to run the business, I would be paying dividends to this shareholders, even if i dont want them to have an equity on my company.



The main issue is that im going to be working with bitcoins, its a cryptocurrency, there would be no fiat transfers to the clients and shareholders, only bitcoins, the only fiat currency i would exchange is that of the company to pay for bills and services.



I was told that under SEC regulation that i cannot do this unless they approve me, and which can take a long time and cost a lot of money, thats why i come here to see whats the best route i can take, I'm not a wealthy person and so i can't spend a lot of money initially.
