My question involves business law in the state of: Ohio
A youth sport organization was formed by a small group of parents. An Articles of Organization/Dom. nonprofit LLC was filed with the State of Ohio and no operating agreement was ever done. A parent was appointed as Statutory Agent and another parent signed as having member authority to execute the document. The organization has been operating with an elected board consisting of parents in the organization.
There is now dissention in the organization and the person who is statutory agent and the authorized member that signed the Articles say they own the LLC even though a group of parents formed the organization, but are not listed on the Articles. Since there is no operating agreement, I reviewed the Ohio Revised Codes which I did not clearly see how I would determine who the owners are.
How can I determine who the owners are and what rights they have with no operating agreement?
